About these terms

These terms cover your use of electofusion.com (the “site”), which is run by The Heat Exchange Corporation of Louisville, Kentucky (“we” or “us”). By using the site you agree to them, so if you don't agree, please don't use it. Our privacy policy explains how we handle the information you send us.

Free estimates and product information

The site describes Electofusion, a technology we're still developing and proving in public. Please read it that way:

• An estimate is our good-faith view, based on what you tell us. It isn't a quote, an offer or a guarantee of savings or of how much energy a system will recover.
• What a system recovers depends on the site: the equipment, its hours, its temperatures and other conditions.
• Numbers from the public meter at the Heat Exchange Cafe & Noodle Bar describe that one kitchen. They aren't a prediction of what you would see.
• Product details, specifications, pricing, availability and timelines may change.
• Any purchase or installation will be covered by a separate written agreement, and that agreement, not these terms, will govern it.

The community round

Nothing on this site is an offer to sell, or a solicitation of an offer to buy, any securities. We are "testing the waters" to gauge investor interest in a possible offering under Regulation Crowdfunding. No money or other consideration is being solicited, and if sent, will not be accepted. No offer to buy securities is being made, and no part of the purchase price can be accepted until an offering statement is filed and only through an intermediary’s platform. Any indication of interest involves no obligation or commitment of any kind.

Any offering will be made only through Wefunder, together with an offering statement that explains its terms and risks. Read it, and Wefunder's own terms, before you decide anything. Investing in an early-stage company is risky, and you could lose all of the money you invest. Nothing on this site is investment, legal or tax advice.

Plans and forward-looking statements

Some of what we say about the future, such as the cafe build, when the meter goes live, our first commercial installs and how the technology will perform, is a forward-looking statement. These statements reflect our current plans and expectations and involve risks and uncertainties, so things may turn out differently, sometimes very differently.

We work to keep the site current, and the parts that change most often say when they were last checked. Even so, some information may be out of date by the time you read it.

Our content, name and logo

The text, graphics, logo and other content on this site belong to The Heat Exchange Corporation or to the people who licensed them to us, and are protected by copyright and trademark law. Electofusion and the Electofusion logo are our trademarks.

You're welcome to share links to our pages and to quote short passages with credit. Please don't copy the site or large parts of it, or use our name or logo in a way that suggests we're connected to you or endorse you, without our written permission. Other names mentioned here, such as Wefunder, LinkedIn, YouTube and TikTok, are trademarks of their owners.

Using the site

Please don't:

• send spam, malware or anything unlawful, harassing or misleading through the contact form
• try to break into, overload or interfere with the site, or get around anything that protects it
• collect email addresses, phone numbers or other details from the site to send unsolicited messages
• pretend to be someone else, or use the site to break the law

What you send us

You're responsible for what you send us, and you confirm you have the right to share it. Please don't send confidential or proprietary information through the form or by email. If we'll need sensitive details about your site, ask us about a non-disclosure agreement first. If you send us ideas or suggestions, we're free to use them without owing you anything.

Links to other sites

The site links to sites we don't control, including Wefunder, LinkedIn, YouTube and TikTok. We aren't responsible for their content, terms or privacy practices.

No warranties

We try to keep the site accurate and available, but we provide it “as is” and “as available”. To the fullest extent the law allows, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy and non-infringement, and we don't promise the site will always be available or free of errors.

Limitation of liability

To the fullest extent the law allows, The Heat Exchange Corporation and its team won't be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data, arising from your use of the site or your reliance on anything on it. Our total liability for any claim related to the site is limited to $100. Some places don't allow some of these limits, so they may not all apply to you.

Governing law

These terms are governed by the laws of the Commonwealth of Kentucky, without regard to its conflict-of-law rules. Any dispute about the site or these terms will be handled by the state or federal courts in Jefferson County, Kentucky, and you and we both agree to their jurisdiction.

Changes to these terms

We may update these terms. When we do, we'll change the date at the top of this page, and the updated terms apply from then on. If any part of these terms can't be enforced, the rest still applies.
